TERMS & CONDITIONS
INTRODUCTION
UAB „Millo Appliances“, legal entity code 303331122, address of registered office M. Mažvydo st. 12-33, Vilnius (“Millo”, “us”, “we”, or “our”), operates Mobile App Millo (hereinafter referred to as “MilloApp”).
These Terms and Conditions for using MilloApp (hereinafter - “Terms”) governs the use of all digital products and services accessible at MilloApp and together with our Privacy Policy and constitutes your agreement with us (“agreement”).
By accessing MilloApp and using the Services, you hereby unconditionally accept these Terms and commit to them.
DEFINITIONS
Services means the services provided to you by us via MilloApp, as described below.
The User is the individual using MilloApp and Services available via MilloApp.
FEATURES OF MilloApp
MilloApp is the mobile application that enables you to control your Millo devices and products from your smartphone, to customize, save and share your blending patterns, also to receive regular updates to make your smart Millo devices and products even smarter.
To be able to control your Millo devices and products, you would have to connect your device in use with MilloApp via Bluetooth technology, hence you would have to allow MilloApp to access Bluetooth in your mobile device. Without that, distant control of your Millo device would not be possible.
MilloApp provides you with these functionalities: control of your millo blender, seeing firmware and application versions, your device Serial Number, writing ticket directly from application to our support team, or writing feedback ticket to our support team, as well as some other functions might appear with new firmware updates.
Please carefully read User Manual provided to you with your Millo device and use your Millo device strictly following the instructions and safety restrictions provided herein.
PROHIBITED USE
You may not access or use, nor attempt to access or use MilloApp or Services available at MilloApp to take any action that could harm us or a third party or obstruct MilloApp or Services available at MilloApp or take any other actions which Millo, in its sole discretion, deems to be inappropriate.
You may not use MilloApp or Services available at MilloApp in violation of applicable laws or in violation of our or any third party’s intellectual property or other proprietary or legal rights.
You may not access any part of the Services, content available at MilloApp, data or information you do not have permission or authorization to access or for which Millo has revoked your access.
You shall not attempt (or encourage or support anyone else’s attempt) to circumvent, reverse engineer, decrypt, or otherwise alter or interfere with the MilloApp or Services available at MilloApp, or any content thereof, or make any unauthorized use thereof. You may not modify, adapt, sub-license, translate, sell, reverse engineer, decompile or disassemble, “Frame” or “mirror” any part of MilloApp or Services available at MilloApp.
You may not obtain, copy, monitor, index or data mine through the use of a robot, spider, any automated device, or any manual process, the MilloApp or Services available at MilloApp or the contents of hereof.
You may not create apps, extensions, or other products and services that use MilloApp content without the Millo’s permission. You may not aggregate or otherwise use our content in a manner that could reasonably serve as a substitute for using the Services.
CONTENT ON MilloApp
Intellectual Property. All content at MilloApp, the Services, and all text, photographs, images, illustrations, designs, audio clips, videoclips, data, or compilations contained in the Services and in MilloApp are protected by copyright, trademark, patent, trade secrets, other applicable intellectual property protection law and are the property of Millo, except as otherwise clearly identified. All copyrights and other intellectual property rights being not the property of the Millo that are used or referred to in the Services and MilloApp products are the property of their respective owners. Nothing contained in the Services or MilloApp shall be construed as granting any license or other rights to any copyright, trademark, patent or other intellectual property of the Millo or any third party.
Non-Commercial Use. MilloApp is intended for your personal, non-commercial use and MilloApp, including third party and licensed materials on MilloApp, may not be modified, reproduced, republished, retransmitted, or displayed except for personal use.
LIMITATION OF LIABILITY
To the maximum extent permitted by applicable laws, MilloApp is distributed on an “as is” basis without warranties of any kind, either express or implied. While we try our best to ensure that MilloApp is always available, up-to-date and correct, Millo does not warrant that MilloApp will be uninterrupted or error-free. There may be delays, omissions, interruptions, and inaccuracies in the content or other materials made available on MilloApp. You should not rely on the content as a substitute for, nor does it replace, professional diet, medical or any other kind of professional advice.
In no event will Millo, its affiliates and their respective shareholders, directors, officers, employees, advertisers, suppliers, licensees and licensors (“Millo Parties“) be liable (jointly or severally) to you or any other person as a result of your access or use of MilloApp for indirect, consequential, special, incidental, punitive, or exemplary damages, including, without limitation, lost profits, lost savings, lost revenues, or lost goodwill (collectively, the “Excluded Damages“). These limitations apply whether the alleged liability is based on negligence, tort, contract, or other theory of liability, even if any of Millo Parties have been advised of the possibility of or could have foreseen any of the Excluded Damages, and irrespective of any failure of an essential purpose of a limited remedy. If any applicable authority holds any portion of this section to be unenforceable, then the Millo Parties’ liability will be limited to the fullest possible extent permitted by applicable law.
INDEMNIFICATION
You hereby indemnify, defend and hold harmless Millo, its affiliates and their respective shareholders, directors, officers, employees, advertisers, suppliers, licensees and licensors (collectively, the “Indemnified Parties“) from and against any and all liability and costs, including, without limitation, reasonable attorneys’ fees, incurred by the Indemnified Parties in connection with any claim arising out of any breach by you or any person that you allow to use your MilloApp through your mobile device of these Terms or the foregoing representations, warranties and covenants. You shall cooperate as fully as reasonably required in the defence of any such claim. Millo reserves the right, at its own expense, to assume the exclusive defence and control of any matter subject to indemnification by you.
MISCELLANEOUS
If any provision or portion of these Terms is held in whole or in part to be unenforceable for any reason, the remainder of that provision and of the entire Terms will be severable and will remain in effect, to the fullest degree consistent with the intent of this document.
Our failure to enforce any provision of the Terms or respond to a breach by you or other parties shall not in any way waive our right to enforce subsequently any terms or conditions of the Terms or to act with respect to similar breaches.
These Terms have been made and shall be construed and enforced in accordance with the laws of the Republic of Lithuania. Any claim or cause of action arising out of or related to use of MilloApp or these Terms shall be solved by the mutual consent of the parties and, if this is not possible, is the subject of jurisdiction of the competent courts of the Republic of Lithuania. In the event of any dissatisfaction, please send your complaint to support@getmillo.com.
CHANGES TO THESE TERMS
We may update our Terms from time to time. We will notify you of any changes by posting the new Terms on MilloApp.
We will let you know via prominent notice on MilloApp, prior to the change becoming effective and update “effective date” at the top of these Terms.
You are advised to review these Terms periodically for any changes. Changes to these Terms are effective when they are posted on this page.
